(a). For the purposes of this clause, the following terms are defined in accordance with their definitions in the Kick API Terms and are repeated below:
- Kick Content: User Content as defined in Kick’s Terms of Service, including without limitation: messages, materials, data, information, text, music, sound, photos, video, graphics, applications, code, or other items or materials.

The Program Materials are licensed, not sold, to Participants for the purposes of participating in the Hackathon and developing the Team Submissions and Kick retains and reserves all rights not expressly granted in these Terms. You expressly acknowledge that Kick, its licensors, and its end users retain all worldwide rights, titles, and interest in and to the Program Materials, the services covered in Kick’s Terms of Service, and Kick Content, including all rights in patents, trademarks, trade names, copyrights, trade secrets, know-how, data, insights into such data (including all derivative works, applications therefor), and all proprietary rights under the laws of any jurisdiction, or any treaty.

(e). Improvements and modifications to the Program Materials created by You or that form part of Team Submissions shall be solely owned by Kick. However, if You can demonstrate that your modifications or improvements are separable from or do not incorporate or derive from the Program Materials and constitute a separate and independent work of authorship, then You will retain ownership of such modifications or improvements, subject to a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, assignable, transferable, sub-licensable right and licence granted to Kick to use (including to reproduce, modify, adapt, publish, distribute, commercialise, and create derivative works from, or otherwise exploit) such modifications or improvements for any purpose.
(f). Where a Team Submission incorporates any third party tools, intellectual property, or materials, each Participant warrants that they have the right to grant Kick the licence under clause 7(d) in respect of those third party components. If the proposed terms in the transaction with the third party change in any way, Participants must issue a new ROFR Notice to Kick before proceeding.
